Position Summary
The Commercial Counsel reports to the Law Vice President for Global Sales and Business, and works in a dynamic and collegial team of attorneys and contract managers. The Commercial Counsel provides support for sales contracts in the United States and certain additional countries, and provides guidance to specified areas of businesses on a wide range of legal matters. Responsibilities will include drafting and negotiating contracts and license agreements, with emphasis on software and technology products and services; developing contract templates; building a trusted advisor relationship with the business teams; and identifying preventative measures to avoid legal risks, conflicts and issues relevant to the businesses supported. To be considered, you must have a JD from an accredited university with a minimum of 5 years’ legal experience in the technology sector, with strong general business law knowledge. 
Key Areas of Responsibility:
  • Partner with business clients to structure, draft and negotiate contracts with customers and others;
  • Exercise judgment in advising business clients on contract interpretation and other matters;
  • Provide issue-focused legal guidance to contract managers on an escalation basis;
  • Work with others internally such as marketing, product management, product development, pricing, and finance, along with legal subject matter experts in-house and externally, to develop legal approaches and programs to support new business initiatives;
  • Develop and revise standard template agreements for use by the contract managers and business clients for a broad range of offerings; and
  • Develop and maintain in-depth knowledge of procedures, processes and policies.
  • Graduate of a prominent law school;
  • 5-9 years’ experience in a sophisticated law practice, preferably advising technology sector companies, ideally with a mix of law firm and in-house experience, but attorneys with only law firm experience will be considered;
  • Knowledge of commercial contract laws and practices within the technology industry;
  • Excellent communication skills with ability to negotiate at high levels;
  • Strong writing skills and attention to detail;
  • Ability to work under short deadlines and outside normal working hours with minimal advance notice and minimal supervision; self-sufficient and independent
